Joint Initiatives, Including Plan to Make Future Versions of NetWare "Tivoli-Ready,"
Reduce Network Ownership Costs for Enterprise Customers
PROVO, Utah and AUSTIN, Texas Dec. 9, 1998 Novell, Inc. (NASDAQ:
NOVL) and Tivoli Systems today outlined joint initiatives that will offer customers superior manageability
of their complex enterprise computing networks. The product integration and standards that result from this
relationship will reduce costs and greatly simplify network management for customers who bet their
mission-critical business applications on Novell and Tivoli Enterprise investments. As part of the
agreement, Novell and Tivoli will integrate Tivoli Enterprise software with Novell Directory
Services® (NDS); deliver console integration through a ManageWise® Provider for
Tivoli Enterprise; and make future versions of NetWare® 5 "Tivoli-Ready" by providing a Tivoli
Management Agent for NetWare. In addition, the companies will collaborate on support for industry
management and directory standards.

Joint Novell/Tivoli Initiatives
Integrated product solutions from Novell and Tivoli will offer customers the most efficient and effective
means to manage disparate network environments:
- Support for Novell Directory Services: Recognizing NDS as the industry's premier cross-platform
directory service with full LDAP support, Tivoli and Novell are collaborating on the delivery of cross-
platform enterprise management solutions based on NDS and Tivoli Enterprise software. During the first
quarter of 1999, Tivoli, in cooperation with Novell, will integrate Tivoli Inventory, Tivoli Software
Distribution and Tivoli User Administration with Novell's NDS
- NetWare to be "Tivoli Ready": Tivoli will provide a Tivoli Management Agent for NetWare,
enabling future versions of this critical network operating system to be "Tivoli-Ready." This will enable
customers to more effectively manage NetWare severs via Tivoli Enterprise software. In addition, the two
companies also announced today that the Tivoli Management Agent is now YES, Tested and Approved, by
Novell. YES approval means that the agent has met Novell's stringent requirements for compatibility with
NetWare and other Novell products, further enhancing benefits for customers.
- Availability of ManageWise Provider for Tivoli Enterprise: In the first quarter of 1999, Novell and
Tivoli will release ManageWise Provider for Tivoli Enterprise, a solution that seamlessly integrates
ManageWise with Tivoli Enterprise software. ManageWise Provider for Tivoli Enterprise allows
ManageWise and Tivoli Enterprise software to share network alarms, topology and inventory data
greatly reducing a customer's network management complexity and costs.
- Collaboration on Industry Management and Directory Standards: The two companies will
continue to lead the industry in furthering acceptance of independent, open standards, such as the Desktop
Management Task Force's (DMTF) Common Information Model (CIM). This effort aims to simplify
applications management and software distribution across heterogeneous enterprise networks. Through
their partnership, Novell and Tivoli will collaborate on the advancement and use of the CIM and Managed
Object Format (MOF) standards in future products. The two companies have already demonstrated
prototype integration of Novell's Z.E.N.works and Tivoli Software Distibution via standards.
Pricing and Availability
Tivoli Inventory, Tivoli Software Distribution and Tivoli User Administration are currently available and
each product will offer NDS integration in the first quarter of 1999. Pricing and additional information on

Also in the first quarter of 1999, ManageWise Provider for Tivoli Enterprise will be available and sold as
an add-on for ManageWise 2.6. Pricing will be announced at the time of delivery. For more information,

The Tivoli Management Agent for NetWare is currently included in Tivoli Enterprise. Novell will also
offer Tivoli Management Agent for NetWare in the future. Pricing will be announced at the time of
delivery.
